1. About Keep the Keys
Keep the Keys (“we,” “us,” or “our”) is a Canadian online platform that provides tools, resources, and guidance to homeowners who wish to sell their property privately, without the use of a real estate agent. Our platform is accessible at keepthekeys.ca.
Keep the Keys does not act as a real estate agent, broker, or legal representative. We are a technology and information platform only. Nothing on our platform constitutes real estate, legal, financial, or professional advice.
2. Acceptance of Terms
By accessing or using the Keep the Keys platform, creating a membership account, or purchasing any of our services, you confirm that:
- You are at least 18 years of age
- You have the legal capacity to enter into a binding agreement
- You agree to comply with these Terms and Conditions in full
- You have read and understood our Privacy Policy
If you do not agree to these terms, you must not use our platform.
3. Membership and Account
Access to the seller portal, toolkits, documents, and other platform features requires a paid membership. Memberships are managed through our third-party membership system (Paid Memberships Pro).
- You are responsible for maintaining the confidentiality of your account credentials
- You must not share your account with any other person
- You must provide accurate and complete information when creating your account
- You are responsible for all activity that occurs under your account
- We reserve the right to suspend or terminate accounts that violate these terms
If you believe your account has been compromised, you must notify us immediately at support@keepthekeys.ca.
4. Membership Fees and Payments
Membership fees are charged in Canadian dollars (CAD) and are due at the time of purchase. All fees are non-refundable except as described in Section 5 below or as required by applicable Canadian consumer protection law.
- Fees are charged for the membership tier selected at the time of signup
- Recurring memberships (if offered) will renew automatically until cancelled
- You may cancel your membership at any time through your account settings or by contacting us
- Cancellation takes effect at the end of the current billing period — no partial refunds are issued
- We reserve the right to change membership pricing with reasonable notice
5. Refund Policy
Given the digital nature of our platform and the immediate access provided upon purchase, we generally do not offer refunds. However, we will consider refund requests made within 7 days of purchase if:
- You have not accessed the portal, toolkits, or documents
- You experienced a verified technical issue that prevented you from accessing the service
To request a refund, contact us at support@keepthekeys.ca with your account details and reason for the request. Refund decisions are made at our sole discretion.
6. AI-Powered Toolkits
Keep the Keys offers AI-powered tools including Market Research, Pricing Insight, Listing Generator, and Photo Enhancer. These tools are powered by third-party artificial intelligence services (currently OpenAI). By using these tools, you acknowledge and agree that:
- AI-generated outputs are provided for informational and illustrative purposes only
- Outputs may contain errors, inaccuracies, or information that does not reflect current market conditions
- We do not guarantee the accuracy, completeness, or fitness for any particular purpose of AI-generated content
- You are solely responsible for reviewing, verifying, and deciding whether to use any AI-generated content
- AI-generated listing descriptions, market analyses, and pricing insights do not constitute professional real estate, legal, or financial advice
- Photos enhanced using our AI Photo Enhancer are for marketing presentation purposes — they must accurately represent the property and comply with any applicable real estate advertising standards
We reserve the right to modify, suspend, or discontinue any AI-powered tools at any time without notice.
7. Documents, Checklists, and Resources
Documents, checklists, and other resources provided through the platform are general-purpose templates and educational materials. They are:
- Not legal advice and do not create a solicitor-client relationship
- Not tailored to your specific circumstances, property, or jurisdiction
- Provided as starting points only — you should have all legal documents reviewed by a qualified real estate lawyer before use
Real estate transactions in Canada involve legally binding contracts. We strongly recommend that all sellers engage a real estate lawyer to assist with offer review, conditions, and closing documentation.
8. Add-On Services
Keep the Keys may offer optional add-on services including professional photography, additional AI photo staging, showing assistance, and cleaning services. These services may be fulfilled by Keep the Keys directly or by third-party service providers. Where third parties are involved:
- Separate terms may apply to those services
- We are not responsible for the quality, timing, or outcome of third-party services
- Disputes regarding third-party services should be directed to the relevant provider
9. Prohibited Use
You must not use the Keep the Keys platform to:
- Violate any applicable law, regulation, or third-party rights
- Post or transmit false, misleading, or fraudulent information about any property
- Attempt to gain unauthorized access to any portion of the platform
- Reverse engineer, scrape, copy, or redistribute our tools, documents, or content
- Use the platform for any commercial purpose other than selling your own property
- Harass, threaten, or harm any other user or member of our team
- Attempt to circumvent membership restrictions or access content you have not paid for
10. Intellectual Property
All content on the Keep the Keys platform — including the platform design, toolkits, templates, documents, AI prompts, branding, and written content — is the property of Keep the Keys and is protected by Canadian copyright and intellectual property law.
Your membership grants you a limited, non-exclusive, non-transferable licence to access and use platform content for the personal purpose of selling your own property. You may not reproduce, distribute, or commercially exploit any platform content without our written permission.
Content you generate using our AI tools (such as listing descriptions and market research) belongs to you, subject to the terms of the underlying AI service provider (OpenAI). We do not claim ownership of your AI-generated outputs.
11. Privacy and Data
Your use of the platform is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. Key points:
- We collect personal information necessary to provide the service (name, email, property details)
- Photos you upload to the Photo Enhancer are processed by our AI provider and are temporarily stored as described in our Privacy Policy
- We do not sell your personal information to third parties
- We use industry-standard security measures to protect your data
By using the platform, you consent to the collection and use of your information as described in our Privacy Policy. You may request deletion of your account and associated data by contacting support@keepthekeys.ca.
12. Limitation of Liability
To the maximum extent permitted by applicable Canadian law, Keep the Keys and its owners, employees, and contractors shall not be liable for:
- Any loss arising from your reliance on AI-generated content, documents, or tools provided through the platform
- Any errors or inaccuracies in market data, pricing estimates, or listing content
- Any outcome of a real estate transaction, including failed sales, disputes, or legal issues
- Any indirect, incidental, special, or consequential damages of any kind
- Any loss of data, revenue, or opportunity
Our total liability to you for any claim arising from your use of the platform shall not exceed the amount you paid for your current membership period.
Nothing in these terms excludes liability for fraud, personal injury caused by our negligence, or any liability that cannot be excluded under applicable law.
13. Disclaimer of Warranties
The Keep the Keys platform is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that:
- The platform will be uninterrupted, error-free, or available at all times
- AI-generated outputs will be accurate, complete, or suitable for your purposes
- The platform will meet your specific requirements
- Any errors will be corrected
You use the platform at your own risk. Real estate transactions are complex and often involve significant financial and legal consequences. We strongly encourage all sellers to seek independent professional advice.
14. Third-Party Services
Our platform integrates with third-party services including OpenAI (AI tools), Paid Memberships Pro (membership management), and Cloudflare (infrastructure). Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, performance, or conduct of third-party services.
15. Modifications to Terms
We may update these Terms and Conditions from time to time. When we do, we will update the “Last updated” date at the top of this page. For material changes, we will notify active members by email.
Your continued use of the platform after changes are posted constitutes acceptance of the revised terms. If you do not agree to updated terms, you must stop using the platform and may cancel your membership.
16. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of Canada and the province in which Keep the Keys is registered, without regard to conflict of law principles. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of that province.
17. Severability
If any provision of these Terms and Conditions is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining terms remain in full force and effect.
